Affiliate Partner Terms

01

Scope and definitions

These Affiliate Partner Terms apply to the Grapxo affiliate program operated by Grapxo, Türkiye ("Grapxo"), and to every person or business accepted into the program to provide Grapxo with referral services ("Partner"). The program is run entirely on Grapxo's own systems: referral tracking, commission records, and payout records are kept by Grapxo and shown to Partner in the Affiliate tab of Partner's Grapxo account. A "Lead" is a potential customer directed to Grapxo through Partner's referral link. The "Partner Agreement" is the agreement between Partner and Grapxo, of which these Affiliate Partner Terms and Annex 1 (Referral Services and Commercial Terms) form an integral part.

02

Conclusion of the Partner Agreement

A Partner Agreement is concluded when Partner applies to Grapxo's affiliate program, accepts these Affiliate Partner Terms and Annex 1, and Grapxo approves the application. Grapxo may evaluate and, at its sole discretion, reject any application. The right to perform referral services is granted on a non-exclusive basis: Grapxo may engage other partners or affiliates for similar activities, and may at all times promote its own services directly. The Partner Agreement does not form a partnership, joint venture, employment, or equivalent relationship between the parties, and neither party may enter into agreements on the other's behalf.

03

Referral tracking

Partner receives a personal referral link (for example grapxo.com/r/partner-code). When a visitor opens the link, Grapxo stores a first-party cookie on the visitor's browser for 30 days; no third-party tracking service is used. A Lead is attributed to Partner only if the Lead creates a new Grapxo account while that cookie is valid. The first referral link a visitor opened prevails over later ones. Existing Grapxo accounts, and accounts created by Partner for itself (including the same mailbox under a different spelling), are never attributed. Grapxo may hold or reject attributions that show signs of manipulation, such as self-referrals, sign-ups from Partner's own devices or networks, or automated traffic.

04

Obligations of the Partner

Partner will keep its Grapxo account and referral link from being misused by third parties and will comply with all applicable law; will not promote Grapxo through unlawful channels or unsolicited spam (email, SMS, or similar); will follow Grapxo's reasonable instructions; will not perform self-referrals or otherwise distort tracking; and will not bid on Grapxo's trademarks or trade name in Google Ads, Facebook Ads, or similar paid search/social campaigns in a way that competes with or confuses Grapxo's own marketing. Partner will represent Grapxo honestly, will disclose its affiliate relationship where the law or the platform it publishes on requires it, and will not make claims about Grapxo's services that cannot be verified or fulfilled. Grapxo may suspend Partner or terminate the Partner Agreement with immediate effect, without prior notice, in the event of abuse of the referral link or conduct that Grapxo reasonably believes harms its reputation; any commission that would otherwise have accrued after such termination, and any commission obtained through the abuse, lapses.

05

Commission

Subject to the conditions in Annex 1, Partner earns commission when a Lead attributed to Partner pays for an eligible purchase. Each commission is first recorded as pending and is approved 30 days after the payment, once the refund window has passed. If a purchase is refunded or charged back, the related commission is cancelled; if it has already been paid out, the same amount is deducted from Partner's next payout. Partner can follow clicks, sign-ups, commissions, and payouts in the Affiliate tab of its Grapxo account. Partner must flag any error in these records within 30 days of the record appearing, after which the record is deemed final.

06

Payout

Commission is calculated in US dollars. Once Partner's approved, unpaid balance reaches the payment threshold in Annex 1 ($50), Grapxo pays it within 30 days; a smaller balance carries over until it reaches the threshold. Grapxo pays by one of the payout methods listed in Annex 1, to the payout details Partner saves in its account; Partner is responsible for the accuracy of those details, and crypto sent to an address or network supplied by Partner cannot be recovered. For security, a payout is not made to newly changed payout details for 72 hours, and Partner is notified by email of every change. Bank transfers (Havale/EFT) are paid in Turkish lira at the US dollar selling rate published by the Central Bank of the Republic of Türkiye on the payout day; crypto payouts are converted at the market rate at the time of sending. Unless Grapxo notifies Partner otherwise, Grapxo bears the bank transfer fee and the blockchain network fee. Each completed payout is recorded with its transfer reference or transaction ID (txid) and Partner is notified by email. Partner is responsible for any taxes due on its commission in its own country; amounts paid are considered inclusive of VAT and other levies. Grapxo may ask for information needed to meet its own legal, tax, or anti-fraud obligations before paying, and may withhold payment until it is provided.

07

Term and termination

The Partner Agreement starts on the date the application is approved and has an indefinite duration. Either party may terminate it at any time, without cause and without owing any fee, by written notice to the other party. Approved commission earned before termination remains payable under these terms, unless the termination is due to abuse or a breach by Partner.

08

Intellectual property

Nothing in the Partner Agreement transfers ownership of either party's intellectual property to the other. Grapxo retains all rights to its services, software, and materials; Partner retains all rights to information it supplies to Grapxo. Grapxo may name Partner, and use Partner's trade name and logo, in its own promotional materials. Partner may use Grapxo's name and logo solely to perform referral services, strictly under any conditions Grapxo sets for such use, and may not alter promotional materials Grapxo supplies.

09

Personal data

Grapxo processes the information in Partner's application, Partner's payout details, and the referral records described above to run the program, pay commission, prevent fraud, and meet its legal obligations. Payout details are stored encrypted and shown in masked form. Referral records do not reveal a Lead's full email address to Partner. Grapxo's privacy notice applies to this processing.

10

Liability

Grapxo is liable to Partner only for direct damages resulting from an attributable failure to perform the Partner Agreement; liability for indirect damages (including lost savings, lost data, lost profit, reputational damage, or business interruption) is excluded. Grapxo's liability for direct damages is capped at the amount of commission (excluding VAT) paid to Partner in the three months preceding the damaging event. This cap does not apply where the damage results from intent or deliberate recklessness by Grapxo's management. Any claim for compensation requires written notice to Grapxo within 30 days of discovering the damage.

11

Force majeure

Neither party is obliged to perform, or liable for failing to perform, an obligation under the Partner Agreement to the extent performance is prevented by force majeure — including power, internet, or telecommunications failures, banking or blockchain network outages, network or malware attacks, civil unrest, natural disaster, war, strikes, or a supplier's failure to perform, regardless of cause.

12

Confidentiality

Each party will keep confidential, and not disclose, the contents of the Partner Agreement and any information exchanged that is marked confidential or that a reasonable recipient would understand to be confidential, and will impose the same obligation on its employees and subcontractors. This does not apply to information that is or becomes public other than through a breach of this clause, that the receiving party already held, that it lawfully receives from another source, or that it independently develops. Where a party is legally compelled to disclose confidential information, it will give the other party prompt written notice so that party may seek a protective order. On termination of the Partner Agreement, each party will return or destroy the other's confidential information on request.

13

Amendments

Grapxo may amend the Partner Agreement, these Affiliate Partner Terms, or Annex 1 — including the list of payout methods — at any time, by notifying Partner in writing; amendments take effect two weeks after notice. If Partner does not accept an amendment, it may terminate the Partner Agreement effective on the date the amendment would otherwise take effect.

14

Governing law and miscellaneous

The Partner Agreement is governed exclusively by the laws of the Republic of Türkiye, and any dispute arising from it is submitted to the competent courts of Ankara, Türkiye, unless mandatory law provides otherwise. References to "written" or "in writing" include email and notices shown in Partner's Grapxo account, provided the sender's identity and the integrity of the content can be established. Grapxo's own record of a communication, a referral, or a payout is deemed authentic unless Partner proves otherwise. If any provision is found unenforceable, it will be amended to the minimum extent needed to make it enforceable while preserving its intended meaning. Grapxo may transfer the Partner Agreement, or any right or obligation under it, to a third party without Partner's consent; Partner may not do so without Grapxo's prior written permission.

15

Annex 1 — Referral services and commercial terms

Referral service type: "Purchases by Leads." Commission: 25% of the net amount (excluding VAT, discounts, and other extra charges, converted to US dollars) of every eligible purchase made by a Lead attributed to Partner — meaning the purchase or renewal of any Grapxo subscription plan, any plan size — during the 12-month Commission Period that starts when the Lead is first attributed to Partner. Grapxo may agree a different rate with an individual Partner in writing; that rate then applies to Partner's subsequent eligible purchases. Partner earns no commission on credit packs or other purchases that are not subscription plans; on purchases by Leads who are not attributed to Partner; where Grapxo has not received payment or the purchase is refunded or charged back; where the Lead was already a Grapxo customer before being referred; or on commission generated through fraud or a breach of the Partner Agreement or applicable law. Hold period: 30 days after each payment. Payment Threshold: $50. Payment Period: within 30 days of the approved balance reaching the threshold. Payout methods: bank transfer in Turkish lira (Havale or EFT, to a Turkish IBAN in Partner's own name), Bitcoin (BTC), TRX (Tron), or USDT on the networks Grapxo enables (TRC20 by default).
